Here’s the short version. The full terms below are what legally govern the Agreement, but this is the gist:

  • No contracts. Cancel anytime, no notice required.
  • Flexible billing. Pay monthly, or pay annually and save two months. If you pay annually and cancel partway through, you’re refunded for the unused months at the standard monthly rate.
  • Your site and domain are yours to take when you leave — but only if you’ve stayed a full 12 months. Cancel anytime, no penalty, no fee, no notice required. Leave before 12 months and the files and domain simply stay with us — there’s no buyout and no partial credit. Any domain you already owned is always yours, regardless of tenure.
  • Easy acceptance. Completing your first payment means you agree to these terms — no signed paperwork required.

This Web Presence Service Agreement (“Agreement”) governs the website design, hosting, and maintenance services provided by B3 Trinitas Media & Ventures, a sole proprietorship (“Provider,” “we,” “us”), to the customer who accepts these terms (“Client,” “you”). The specific tier, monthly or annual rate, and setup fee that apply to you are the ones you select at checkout, as reflected in your Stripe receipt. By completing payment you accept this Agreement, as described in Section 10.

Plans & Pricing

All three tiers are governed by this same Agreement. The tier you choose at checkout determines your rate, included updates, and features:

Website files and your domain transfer to you free after 12 months of continuous, active service, for every tier. Leave before then and they remain with Provider — there’s no fee to obtain them early. A domain you already owned is always returned to you at no cost, regardless of tenure.

1.

Services Provided

Provider agrees to design, build, host, and maintain a professional website on behalf of Client under the tier selected at checkout. Services include:

  • Custom website design and initial development (single-page for Presence; multi-section for Growth and Authority)
  • Web hosting via Provider’s hosting infrastructure (Netlify)
  • Domain name registration and annual renewal management
  • Content updates as defined in Section 3 (1 round/year for Presence, 2 for Growth, 5 for Authority)
  • Foundational SEO setup — page titles and meta descriptions, an auto-generated sitemap, search-engine indexing via Google Search Console, descriptive image alt text, mobile-responsive markup, and clean semantic page structure
  • Ongoing technical maintenance — software and security updates, uptime monitoring, SSL certificate management, and prompt resolution of functional issues to keep the site secure and accessible
  • Calendly booking integration and priority support (Authority tier only)

Note: SEO setup establishes the technical foundation for search visibility but does not guarantee specific search rankings, traffic volume, or placement, which depend on factors outside Provider’s control.

Website Ownership & Intellectual Property

Provider retains ownership of the website design, layout, and underlying code until the applicable transfer conditions in Section 7 are met. Client owns all content they provide — including photos, logos, text, and branding — and grants Provider a license to use that content solely to build, host, and maintain Client’s website under this Agreement. Upon a qualifying transfer under Section 7, ownership of the website files passes to Client as described in that section.

2.

Service Fee & Billing

Client pays the setup fee (if applicable to the selected tier) before work begins, and the recurring monthly or annual fee for the selected tier thereafter. Fees are charged automatically via Stripe on the same date each billing cycle. Provider will provide 30 days advance notice of any pricing changes. Client may cancel at any time, effective immediately, through the Stripe customer portal or by notifying Provider — no advance notice is required. Billing simply stops at the end of the period already paid for. Refund terms for annual plans cancelled mid-term, and file/domain transfer terms, are described in Section 7.

Included Updates & Additional Work

Each tier includes a set number of content update rounds per year — Presence: 1, Growth: 2, Authority: 5. A content update includes changes such as:

  • Swapping or adding portfolio photos
  • Updating contact information, pricing, or service descriptions
  • Adding or editing testimonials
  • Text edits to existing pages

Work outside this scope — including new pages, structural redesigns, new features, or integrations — will be quoted and billed separately at a mutually agreed rate before work begins.

4.

Domain Registration & Ownership

Provider registers and manages the domain name for Client’s website. While this Agreement is active, the domain is held and maintained in Provider’s account on Client’s behalf and is reserved exclusively for Client’s use.

Client has the right to take ownership of the domain by transferring it into Client’s own account. The timing of that transfer is governed by the Termination & Site Transfer terms in Section 7. If Client supplied a domain they already own, that domain remains Client’s property and will be returned to Client’s direct control immediately at no cost upon termination, regardless of tenure.

5.

Client Responsibilities

Client agrees to:

  • Provide all content (photos, text, bio) needed to build and maintain the site in a timely manner
  • Ensure all photos and content provided are owned by Client or used with permission
  • Maintain a valid payment method on file for recurring billing
  • Notify Provider of any desired changes or corrections promptly
5a.

Content Disputes & Copyright Claims

If Provider receives a claim that content on Client’s website infringes a third party’s copyright or other rights, Provider may remove or disable the disputed content while the matter is resolved, and will promptly notify Client. Client agrees to indemnify and hold Provider harmless from any claims, damages, or costs arising from content Client provided. 6.

Provider Credit

Provider may include a small, tasteful attribution in the footer of the website reading “Site by B3 Trinitas Media & Ventures” with a link to b3trinitas.com. Client may request removal of this credit at any time and Provider will comply within 5 business days.

7.

Termination & Site Transfer

Client may terminate this Agreement at any time, effective immediately, with no advance notice required. Provider may terminate this Agreement immediately for cause (including non-payment or violation of this Agreement), or with 30 days’ notice for any other reason. Upon termination:

  • Recurring billing will be cancelled upon confirmation; no further charges will be made
  • Client is free to host the website files anywhere they choose after transfer

Refunds:

  • Monthly plans: the current month already paid is non-refundable. No charge is made for the following month.
  • Annual plans: Client receives a refund for unused full months, calculated at the standard monthly rate for the tier — not the discounted annual rate. The annual discount is earned by completing the year; a Client who cancels early is charged the standard monthly rate for the months actually used.
Annual refund formula: Refund = Annual amount paid − (full months of service × standard monthly rate), and is never less than $0.
Example: A Growth client pays $490 for the year and cancels after 8 full months. 8 months × $49 = $392. Refund = $490 − $392 = $98. (Once the months used at the monthly rate equal the annual amount paid — roughly 10 months for Growth — the annual payment is fully earned and no refund applies.)

Site & Domain Transfer:

  • If Client has completed 12 or more consecutive months of active, continuously paying service at the time of termination, Client receives all website files and their domain at no additional cost, within 10 business days of termination
  • If Client terminates before completing 12 consecutive months of active service, the website files and domain remain with Provider. There is no fee, buyout option, or later opportunity to obtain them — the 12-month threshold must be met while still an active, paying subscriber
  • If Client provided their own domain, it will be returned immediately at no cost regardless of tenure
These terms exist to protect both parties. Provider invests significant time in design, development, and setup, and the 12-month milestone reflects the point at which that investment is considered fully earned. Clients who remain beyond 12 months receive full ownership of their site and domain at no additional cost.
8.

Limitation of Liability

Provider will make reasonable efforts to maintain site uptime and data integrity but does not guarantee 100% availability. Provider is not liable for losses resulting from hosting outages, third-party service failures, or circumstances outside Provider’s reasonable control. Provider’s total liability under this Agreement shall not exceed the amount paid by Client in the prior 12 months.

9.

Entire Agreement

This Agreement constitutes the entire understanding between the parties regarding the services described herein and supersedes any prior discussions or representations. Any modifications must be agreed to in writing by both parties. Provider may update these terms from time to time; updated terms apply to new signups and renewals, and the version in effect at the time of Client’s acceptance governs Client’s Agreement. This Agreement shall be governed by the laws of the Commonwealth of Kentucky.

10.

Acceptance of Agreement

You accept this Agreement and agree to all terms herein by completing payment through Provider’s Stripe checkout, where you confirm your agreement to these terms before payment is processed. Checking the agreement box and completing payment constitutes your electronic signature and acceptance of this Agreement, effective on the date of that transaction (the “Effective Date”). No physical signature is required.

How You Accept

When you check out, you’ll confirm “I have read and agree to the Web Presence Service Agreement” before paying. Completing that payment is your acceptance — there is no paperwork to sign or return.

Provider retains the Stripe payment record, including the terms-acceptance timestamp, as evidence of this Agreement. A countersigned PDF copy is available on request at chris@b3trinitas.com.
